Terms of Service

These Terms of Service govern your access to and use of the Trauma Response website and any content, forms, features, or materials made available through it. By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms.

Section 01

Scope of These Terms

These Terms of Service, together with our Privacy Policy, govern your use of the Trauma Response website at https://traumaresponse.ca and any content, forms, features, or materials made available through the Site. The Site is owned and operated by Trauma Response, a business based in Kelowna, British Columbia. The Site provides information about the back office, administrative, operational, marketing, advisory, and related support services offered by Trauma Response.

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms.

Section 02

Client Services Agreement

These Terms apply to your use of the Site as a visitor, prospect, or general user. If you become a client of Trauma Response, the services provided to you will be governed by a separate written Client Services Agreement.

If there is any conflict between these Terms and a signed Client Services Agreement with respect to the services provided to a client, the Client Services Agreement will govern to the extent of that conflict.

Section 03

Intellectual Property

All content published on or made available through the Site, including text, graphics, logos, branding, page layouts, documents, downloads, images, videos, and other materials, is owned by Trauma Response, its licensors, or its content suppliers and is protected by applicable intellectual property laws.

Except as expressly permitted by law or by our prior written consent, you may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, publicly perform, transmit, sell, or exploit any Site content for commercial purposes.

Section 04

Acceptable Use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or interfere with the operation, availability, security, or integrity of the Site.

You must not:

  • violate any applicable law or regulation;
  • infringe or misappropriate the intellectual property or other rights of Trauma Response or any third party;
  • use the Site for any fraudulent, deceptive, abusive, or unlawful purpose;
  • introduce malware, malicious code, or harmful material;
  • attempt to gain unauthorized access to the Site, its infrastructure, or related systems;
  • interfere with the security or proper functioning of the Site; or
  • use bots, scrapers, crawlers, harvesting tools, or other automated means to access or collect data from the Site without our prior written authorization.

We may suspend, block, or terminate access to the Site where we reasonably believe a person has violated these Terms or poses a risk to the Site, our systems, or others.

Third-Party Websites and Services

The Site may contain links to third-party websites, services, software, integrations, or content that are not owned or controlled by Trauma Response.

We are not responsible for the content, accuracy, availability, security, or practices of any third-party website or service. Accessing or using third-party resources is at your own risk, and you should review their applicable terms and privacy policies.

Disclaimer and No Warranties

The Site and all content made available through it are provided for general informational purposes only and on an "as is" and "as available" basis. While we make reasonable efforts to keep Site content accurate and current, Trauma Response does not guarantee that the Site, its content, or any information made available through it will be accurate, complete, reliable, current, error-free, secure, or uninterrupted.

To the fullest extent permitted by applicable law, Trauma Response disclaims all representations, warranties, and conditions of any kind, whether express, implied, or statutory, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

No Professional or Contractual Relationship

Your use of the Site, your submission of an inquiry, your booking of a consultation, or any communication through the Site does not by itself create a client, contractor, advisory, fiduciary, agency, partnership, employment, or other professional relationship between you and Trauma Response.

Information on the Site, including descriptions of services, processes, timelines, results, pricing examples, or case-study style content, is provided for general informational purposes only and does not constitute a binding offer, guarantee, quote, estimate, or commitment.

Any services offered by Trauma Response will be governed only by a separate written agreement signed by the applicable parties.

Section 08

Limitation of Liability

To the fullest extent permitted by applicable law, Trauma Response and its owners, directors, officers, employees, contractors, agents, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, business interruption, or similar loss arising out of or relating to your access to, use of, inability to use, or reliance on the Site or its content, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, if Trauma Response is found liable to you for any claim arising out of or relating to the Site or these Terms, Trauma Response's total aggregate liability will not exceed one hundred Canadian dollars (CAD $100).

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Section 09

Site Availability and Changes

We may modify, suspend, restrict, discontinue, or remove the Site or any part of it at any time and without notice. We do not guarantee that the Site or any feature, content, or functionality will always be available, uninterrupted, secure, or free from errors or harmful components.

You are responsible for using appropriate safeguards, including up-to-date antivirus, browser, and device protections, when accessing the Internet and the Site.

Section 10

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Trauma Response and its owners, directors, officers, employees, contractors, agents, and representatives from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable legal fees, arising out of or relating to your misuse of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

Section 11

Governing Law

These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Section 12

Dispute Resolution and Forum

If a dispute arises between you and Trauma Response in connection with the Site or these Terms, the parties will first attempt in good faith to resolve the matter informally.

Subject to any rights either party may have under applicable law, any dispute arising out of or relating to the Site or these Terms that cannot be resolved informally will be brought exclusively before the courts of British Columbia, sitting in Kelowna, British Columbia, and each party irrevocably attorns to the jurisdiction of those courts.

Nothing in this section prevents either party from seeking temporary, interlocutory, or injunctive relief in a court of competent jurisdiction where such relief is reasonably necessary.

Section 13

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Trauma Response with respect to your use of the Site and supersede all prior or contemporaneous understandings, communications, and agreements relating to such use.

For clients who have signed a separate Client Services Agreement, these Terms operate alongside that agreement only with respect to general Site use.

Section 14

Severability and No Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

No failure or delay by Trauma Response in exercising any right, remedy, or provision under these Terms will operate as a waiver of that right, remedy, or provision.

Section 15

Changes to These Terms

We may revise these Terms from time to time. Updated versions will be posted on this page with a revised Effective Date.

By continuing to access or use the Site after revised Terms become effective, you agree to be bound by the updated Terms.
